Terms of Service

These Terms of Service ("Terms") govern your use of MakrPrep, a production planning application operated by John Roper, a sole trader based in the United Kingdom, trading as "MakrPrep" ("MakrPrep", "we", "us"). By creating an account or using the service you agree to these Terms.

1. The service

MakrPrep is a web application that helps small food producers cost recipes, plan production and manage orders. We provide the service on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free or that it will meet every requirement of your business.

2. Your account

You must provide accurate information when you sign up and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. If you are using MakrPrep on behalf of a business, you confirm you have authority to bind that business to these Terms. You must be of legal age to enter into a contract in your jurisdiction.

3. Acceptable use

You must not:

• use MakrPrep for any unlawful purpose or in breach of any law;
• use it to send spam, commit fraud or infringe anyone else's rights;
• attempt to probe, scan, reverse engineer, scrape or otherwise interfere with the security or integrity of the service;
• upload malware or content you do not have the right to upload;
• resell, redistribute or sublicense the service, or circumvent any technical limits.

4. Intellectual property

MakrPrep, including its software, branding and documentation, is owned by John Roper and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to use the service for your own business purposes for the duration of your subscription. You retain ownership of the recipes, customer records and other content you upload; you grant us a limited licence to host and process that content solely to provide the service.

5. Subscriptions, payments and Merchant of Record

MakrPrep is offered on a monthly subscription. New accounts receive a 14-day free trial with no card required. After the trial you must add a payment method to keep using the service. Subscriptions renew automatically each month at the then-current price until you cancel. You may cancel at any time from your account; access continues until the end of the current billing period.

Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns. That means Paddle, not John Roper, takes payment, issues invoices, collects sales taxes and handles refunds. Payment terms, billing frequency, taxes and cancellation mechanics are governed by Paddle's Buyer Terms, which apply in addition to these Terms.

6. Refunds

Refunds are covered by our Refund Policy.

7. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, if payment fails and is not resolved, if we reasonably suspect fraud or a security risk, or if you repeatedly or seriously violate our acceptable use rules. You may cancel your subscription and delete your account at any time from Settings. On termination, we will delete or anonymise your data in line with our Privacy Notice.

8. Disclaimer and liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising out of or relating to the service is limited to the fees you paid to Paddle for MakrPrep in the 12 months before the claim. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

9. Indemnity

You will indemnify us against claims arising from content you upload, your unlawful use of the service, or your breach of these Terms.

10. Changes

We may update these Terms from time to time. If we make material changes we will notify you by email or in-app before the changes take effect. Continued use after the effective date means you accept the new Terms.

11. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except where mandatory local law grants you the right to bring proceedings elsewhere.
